2. What these terms cover
These terms cover requests sent through this site, estimates, pickups, purchases, broker deals and donation pickups. If your firm has signed Master Seller Terms with us, those terms control your firm's deals. They are also the written agreement made before the transaction that any payment term other than the PACA default needs (section 7).
3. Requests and estimates
This is an estimate based on your photos and description. It is not an offer or an agreement to buy. An estimate is good until the time it shows or until market prices move, whichever comes first. We can't promise to buy every lot or to meet every pickup time.
Your photos and description are part of your request. Tell us about anything that would change the price, such as decay, temperature problems or damaged packaging.
4. Pickup, inspection and the final offer
We inspect the product at pickup. Our final offer comes after that inspection, and a sale happens only when both sides sign the pickup confirmation, for the exact quantity we load.
At pickup we may change the price for condition, take only part of the lot, or decline it. You may decline our final offer. If no confirmation is signed, neither side owes anything.
Once we finish loading and both sides sign the confirmation, our acceptance is final. We make no later claim for condition or quality beyond what the confirmation records.
5. Counts, weights and condition
Counts, weights and condition are checked at pickup. We pay for the packages counted onto our truck. Packages we do not take are recorded on the confirmation as refused and are not part of the sale.
On a broker deal: Counts, weights and condition are checked at pickup. The buyer pays for the packages counted onto the truck.
6. Title and risk of loss
When Salida is acting as Buyer, ownership and risk of loss pass to Salida when loading is complete and both sides have signed the confirmation. Until then the product stays yours, in your cooler, at your risk.
When Salida is acting as Broker, Salida never owns the product. Ownership passes from you to the buyer on the terms of the memorandum of sale.
In a donation pickup, Salida receives the product only to deliver it to the nonprofit partner named on the donation pickup record. This is not a purchase.
7. Payment
We pay only the registered business, never an individual, by Same Day ACH, RTP transfer or company check. We never pay cash on the dock. We pay only the payee name we have verified for your firm.
This transaction is subject to the Perishable Agricultural Commodities Act (PACA). Unless other payment terms were agreed in writing before the transaction, payment is due within 10 days after the day the produce is accepted. A cash sale means payment within 24 hours after acceptance. When part of an amount is disputed, the deadline applies to the undisputed amount. Each confirmation states the payment terms for that deal.
Other payment terms count only if both sides agreed to them in writing before the deal and each side keeps a copy. We do not agree to written terms longer than 30 days after acceptance, because past 30 days a seller loses its PACA trust protection.
8. Our role on each deal
Every confirmation names the role Salida plays on that deal. Salida may act as Buyer on one deal and as Broker on another.
- Salida is acting as: Buyer. We buy the product from you and own it once loading is complete and the confirmation is signed.
- Salida is acting as: Broker. We arrange a sale between you and a buyer and never own the product. Our fee is stated on the memorandum of sale and is paid by you unless agreed otherwise in writing. The buyer pays you directly, and Salida does not guarantee the buyer's payment.
- Donation pickup, not a sale. Salida is arranging a donation pickup. This is not a sale, and no one is paid.
9. Broker deals
On a broker deal we give a memorandum of sale to both sides. You get yours on your load's status page and can print it. The buyer gets a copy by email or by hand, and we record when and how it was delivered. The memorandum shows our fee, who pays it, and the buyer's business name, contact and PACA license number. The buyer pays you directly.
10. Donation pickups
Donations go to a nonprofit partner, which issues any receipt directly to you. Salida does not give tax advice. Salida is not the donor and does not issue receipts.
11. Your promises
You confirm that you own this product or are authorized to sell it, and that nothing prevents its sale. For consigned product, that includes the shipper's consent, and no lien or other claim stands in the way of the sale. Please keep labels and lot codes on the cases. We record them for traceability. Tell us about anything that would change the price (section 3).
12. Resale restrictions on request
When your request asks for it, the confirmation records the restriction, for example no resale on the market floor or no resale to customers you name, and Salida follows it.
13. Large lots and USDA inspection
For a large lot, either side may ask for a USDA condition inspection before loading. Your estimate says when a lot counts as large. Under these terms, the side that asks pays, unless the inspection certificate supports the side that asked, in which case the other side pays. If your firm has signed Master Seller Terms, those say who pays.
14. Records and traceability
We keep transaction records for at least 2 years after a deal closes. We record lot codes and labels for traceability.
15. Text messages and email
We message you only about loads you sent. Text messages need your consent, which you give with a checkbox when you send a load. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Agreeing is not required to sell to us.
16. Service aims
We aim to reply within 1 hour during market hours (Sun–Thu 7pm–11am). Same-night pickup when you submit before 11:00 PM, subject to truck availability. We can't promise to buy every lot or to meet every pickup time.
17. Limits of liability
This section is being drafted with counsel and will be added before the first purchase.
18. Governing law
These terms are governed by Pennsylvania law.
19. Changes
The version in effect when a confirmation is signed applies to that deal. When we change these terms, the version and date at the top change with them.
20. Language
A Spanish courtesy translation is available. The English version controls.
