Brokerage desk
Salida is acting as: Broker.
We do two things. If you have product that has to move, we look for a buyer. If you need product, we look for a seller. Either way, we arrange the sale and never own the product.
Salida acts as broker: we look for a seller and arrange the sale. You buy from the seller, and the seller invoices you. Salida does not sell you the product.
By arrangement: call the desk.
How it works
Tell us what you have or what you need. Sellers send the load with photos. Buyers send what they need, how much, and when it has to arrive.
We look for the other side. When we find one, each of you gets a proposal with the product, quantity, price, delivery and payment terms.
You each confirm, or say no. A sale forms only when the seller and the buyer have both confirmed. Until then, either side can still back out.
We write the memorandum of sale. Both sides get a copy, with the terms, who engaged us and our fee.
The buyer pays the seller. It goes directly to the seller, on the payment terms in the memorandum. Salida does not handle that payment.
We bill our fee. An invoice after delivery, to each side that pays.
What we check on the other business
Before a proposal goes out, the desk:
looks up the other business's PACA license on the public PACA search and notes the date;
checks any limits either side asked for, such as no resale on the market floor or to named customers; and
tells both sides if a business is owned by or related to Salida's owner, before either one confirms.
The memorandum of sale shows both businesses' legal names and PACA license numbers, and the name the buyer pays, as they stand on our record the day it is issued.
Our fee
Our fee is stated on every proposal and on the memorandum of sale, either as a percent of the sale or as an amount per package.
The side that asked us to arrange the sale pays it, unless both sides agreed otherwise in writing. We charge both sides only when both agreed to it in writing before the sale.
We charge no fee on a sale where Salida buys or sells the product itself.
Questions
Who pays whom?
If you sell: the buyer pays you directly, on the payment terms in the memorandum of sale. Salida does not guarantee the buyer's payment.
If you buy: you pay the seller directly, and the seller invoices you. Salida does not pay the seller for you.
Sales arranged through Salida are subject to PACA's prompt-payment rules. Unless other payment terms are agreed in writing before the deal, payment is due within 10 days after the day the produce is accepted. Cash sale: payment within 24 hours of acceptance.
Do you ever own the product?
No. When we act as broker we never own it, and every proposal and memorandum says so. If we decide to buy a load ourselves, that is a separate purchase under our purchase terms, and we charge no brokerage fee on it.
When is the sale final?
A sale forms only when the seller and the buyer have both confirmed. Until then, either side can still say no. After that, a change to the quantity or price needs a new memorandum that both sides confirm again.
Will the other side see who I am?
Not until both sides have confirmed. Until then, a proposal does not name the other business. After both confirm, each side sees the other's business name on the memorandum of sale.
What is the memorandum of sale?
A written record of the deal that we give to both sides. It names the seller and the buyer and shows the product, quantity and price, the delivery terms, the payment terms and due date, who engaged us and our fee. PACA rules require a broker to give every party one.
